Definitions

Under these terms and conditions

"The Company" shall mean UK Vending Ltd as identified in paragraph one (below).

"The Customer" shall mean the purchaser, hirer or renter of goods from UK Vending subject to these terms and conditions.

"The Website" means the UK Vending website or websites or any UK Vending website advertising or offering goods, services or information.

"The User" shall mean the person accessing or using the website whether or not a customer of UK Vending and the organization on behalf of which the user acts.

"The Registered User" the organization or person registered with UK Vending to access the registered user areas of the website; the person or organization that has been issued with a registered user account-name and password.

UK Vending Limited, Fort Bridgewood, Maidstone Road, Rochester, Kent, ME1 3DQ provides access to the UK Vending web site ("the web site") and offers to sell our products to you via this web-site subject to the terms & conditions set out here.
By using the ukvending.co.uk web site, you signify your agreement to be bound by these terms & conditions. In addition, when you use any current or future ukvending.co.uk service, you will also be subject to the guidelines and conditions applicable to that service.

Our contract

When you place an order to purchase a product from ukvending.co.uk, we will send you an e-mail or telephone you confirming our receipt and the details of your order. Your order represents an offer to us by you to purchase a product or products from UK Vending and your order is accepted by us only when we send you a Confirmation of Dispatch e-mail or telephone such confirmation to you that we've dispatched your complete order or any part of it to you or to your designated place of delivery. Any products on the same order from you that we have not confirmed in a Dispatch Confirmation E-mail or by telephone to have been dispatched to you do not form part of any accepted contract by UK Vending until we confirm their dispatch to you.

Our Returns Policy

14-day returns guarantee - Our 14-day returns guarantee means that if for any reason whatsoever you are unhappy with your purchase, you may return it to us in its original condition unopened and with any seals and shrink-wrap intact within 14 days of the date you received the item, and we will then issue a full refund for the price you paid for the item subject only to the exceptions set out below: Please note:

We can only accept the return of opened items if they are faulty.
You will be liable to pay the delivery and/or collection charges.

Damaged items: if you take delivery and the goods have been damaged in transit, you can return the damaged item(s) to us within 14 days of receipt for exchange.
Defective items: in the unlikely event that you have a faulty item, you must contact us at the soonest possible moment and we will rectify the problem for you.

You have the right to return a faulty or defective item to us within a reasonable period of time; however, you must notify us of the fault or defect as soon as you discover it.

Please keep all the warranty information that accompanies your item as this will be needed. We are unable to exchange items which are not damaged, defective or incorrect. For your protection we recommend that you use a recorded-delivery service. Once we have received the item, we will contact you to discuss the return and agree with you what happens next. Please note: You may be liable to pay the delivery and/or collection charges. These terms and conditions are in addition to your rights in law and do not in any way take away, replace, reduce or minimize those rights.

Incorrect Items

In the unlikely even that you find we have sent you an incorrect item, please email or telephone and let us know. We will send you the correct item as soon as we can. Send the original item back to us (customer service will provide instructions on how to do this) and we'll make sure you are not charged for it.

Warranty

All new equipment supplied to you has a 12 months parts warranty from date of delivery to you. In the unlikely event that the equipment should become faulty please contact our customer service department. If we are unable to fix the fault over the telephone, we will ask you to return the equipment back to our office at your expense. We will either repair the equipment and return it to you or, at our sole discretion, send you a replacement of similar condition or age.

Pricing and availability

We indicate product availability information for products sold by us on our web site; this is usually shown on each product information page. Beyond what we indicate on our product information pages or in certain instances elsewhere on the web site, we cannot be more specific about product availability and you should be aware that statements of availability that we may make are only indicative and are not guaranteed. Dispatch estimates are just that. They are indicative and not guaranteed dispatch times and should not be relied upon as such. As we process your order, we will inform you by e-mail if any products you order have become unavailable. Despite our best efforts, a tiny number of the many thousands of products in our catalogue can from time to time be mis-priced when prices are displayed. This is usually because our suppliers' prices are themselves subject to global market-forces and sudden change. Prices shown are indicative and not guaranteed and should be seen only as an 'offer to treat' with us. Rest assured, however, that we verify prices as part of our dispatch procedures. If a product's correct price is lower than our stated price, we always charge the lower amount and send you the product. If a product's correct price is higher than our stated price, we will, at our sole discretion, either contact you for instructions before dispatch or cancel your order and notify you of such cancellation.

Title

Title to the goods remains with UK Vending at all times until the goods are paid for in full and including all delivery or collection charges, VAT or other taxes or penalties that may apply.

Delivery scale

Next day service is available on request. There may be additional charges for this service.

'Next day' means if you order before 12 noon today you should receive your delivery before 17:30 the next day. Orders received by us on Fridays will usually be delivered on the following Monday before 17:30.

3 Day Service means goods will be delivered to you within three full working days after the day of order.To qualify, such orders must be received by us before 12 noon and will usually be delivered before 17:30 on the due day: i.e. an order received before 12 noon Monday (say!), should be delivered to you before 17:30 on Thursday. In the unlikely event of non-delivery please contact our customer service team urgently on the number below.

Contract

A binding contract for the purchase of goods and/or services between you and UK Vending will come into effect when UK Vending has received written acceptance of our terms of business and this written acceptance may be construed by your use of the UK Vending website and the ordering of goods via the ordering procedures contained therein or by any other written means by which you submit an order from the UK Vending website. Email orders are subject to these terms and conditions without exception. UK Vending is not obliged to accept any order/ booking you submit but its acceptance will not be unreasonably withheld and will be signified by its delivery or shipment of the goods or services or its offer to deliver or ship the goods or services.

Warranty

Liability

UK Vending's maximum liability whether in contract, tort (including negligence) or otherwise arising from your purchase and use of the products and/or services is limited to the purchase price paid by you to UK Vending for the products and /or services. UK Vending is not liable to you under any circumstances for any loss of profits, loss of business, loss of goodwill, or loss of any kind you suffer arising as a result of your purchase and use of the products and / or services to the maximum extent permitted by law. UK Vending does not exclude its liability for death or personal injury caused by its negligence or for fraudulent misrepresentation.

Delivery

UK Vending will use all reasonable endeavours to deliver the goods or services to you within an agreed period of time on confirmation of your order.

Acceptance of Products and Service

Subject only to paragraph 4 of these terms & conditions unless the customer shall, promptly after delivery notify UK Vending in writing of any defects found, the products/services will be deemed to have been accepted on delivery. In the event UK Vending is notified, as above, of a defect, then UK Vending will review the circumstances of each claim individually and may in its absolute discretion decide to offer the customer a refund or replacement of goods.

Price

While UK Vending tries to ensure that prices stated on our website are accurate, the prices stated on our website are indicative only and we are not responsible for errors in these prices. We will confirm the price when we send you confirmation of order or via the invoice or delivery note that accompanies the delivery of the goods or services when delivered or shipped or subsequent to delivery or shipment.
All prices are exclusive of VAT.
All prices are in British Pounds Sterling (GBP) unless otherwise stated.

Good supplied and subject to rental or finance agreements

Goods supplied by us to you under a rental or lease or lease purchase or hire or credit, or finance agreement of any kind whatsoever are supplied subject solely to the prices and terms and conditions applicable to the agreement signed by the customer and by UK Vending and to the exclusion of any other terms and conditions and ALL WARRANTIES, REPRESENTATIONS, CONDITIONS AND GUARANTEES, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE RELATING TO INFORMATION ON THIS WEBSITE ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Personal Information

For the purpose of fulfilling any contract you have entered into with UK Vending we may be required to disclose some or all of your personal information supplied to us to contracted third party suppliers (i.e. credit specialists, legal professionals, carriers) where this is necessary to fulfil our contractual obligations to you. All third party suppliers are legally forbidden from using your personal information for any other reason than fulfilling our contractual obligations to you. These terms and conditions constitute the entire agreement between you and UK Vending relating to the use of ukvending.co.uk website alternatively known as UK Vending.
If any provision in these terms and conditions is deemed to be illegal or unenforceable, the remaining provisions of these terms and conditions will remain in full force and effect.
UK Vending will not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control.

GUARANTEED SERVICE PROVISION TERMS AND CONDITIONS

The following details in whole the service provision that UK Vending Ltd ("the Company") offers to you ("the Customer") for the equipment supplied ("the Goods") during the Guaranteed period subject to the Terms & Conditions of the Product Guarantee detailed below and the terms of this Guaranteed Service Provision below (applies only to vending machines and equipment supplied)

Terms and Conditions - UK Vending Ltd - Product Guarantee

1. Proof of purchase and the date thereof is the responsibility of the purchaser when claiming entitlement under Guarantee

2. The goods must at all times be maintained by the customer in line with all recommended and required pre¬emptive maintenance including but not limited to changing (where applicable) water pipeline filters connected to the goods at no more than half-yearly frequencies. Failure so to do may, at the sole discretion of UK Vending Ltd, invalidate this product guarantee and no further claim on UK Vending Ltd will thereafter appertain.

3. Normal 'wear and tear', including staining, excessive soiling, abrasion, tears and burns is excluded as is accidental or deliberate damage including vandalism, theft, fire, or misuse of any kind whatsoever. The guarantee is limited to the repair or replacement of the goods should the goods be found to be defective as the result of a manufacturing or delivery default which becomes apparent within twelve calendar months from the date of acceptance of delivery of the goods by the customer

4. The guarantee is not transferable

5. Consistent with meeting its obligations under this guarantee, UK Vending Ltd reserves the right to undertake the least cost option to itself. This may involve rectifying the problem, arranging for the unsatisfactory component to be replaced or refunding part of the original purchase price or any or all of these at its sole discretion

6. If goods are exchanged, or a part or total refund is given, the goods that are deemed faulty revert to the ownership of UK Vending Ltd.

7. The amount of any claim under the guarantee shall be limited to the original purchase price paid for the unsatisfactory merchandise.

8. This guarantee does not extend to domestic usage or to goods that are taken outside the UK.

9. The guarantee may be invalidated if the purchaser does not follow or carry out proper care procedures or in accordance with the manufacturer's or UK Vending Ltd recommendations where applicable, or where the product has been adapted, abused or altered.


1. Term

1.1. No further obligation lies with the Company to notify you the Customer when the Guaranteed period ends

1.2. The Company may offer the Customer at the Company's discretion, a Service Agreement to maintain the Goods after the Guaranteed period ends. Such Service Agreement is chargeable at the rate current at time of offer and subject to its specified terms

2. The Equipment ('the Goods')

2.1 Where the equipment is a Flavia or a Klix machine – service and maintenance can only be provided if the customer purchases without exception ALL consumable stock from UK Vending Ltd throughout the term of this Agreement for use in the equipment. If the customer fails to do so then UK Vending Ltd is not obliged to provide a maintenance service to the customer beyond that offered in our guarantee terms. Beyond this provision, UK Vending Ltd Ltd excludes all other maintenance or service provision to the maximum extent allowed in law.

2.2. Agreed Charge: £ NIL during the Guaranteed Period (subject where applicable to paragraph 2.3 below and all other terms and conditions of this Guaranteed Service Provision)

2.3. BOTTLED WATER DISPENSERS ONLY - Providing that:

2.3.1. ALL bottled water and ALL other consumable items used in conjunction with the equipment above are purchased exclusively and without exception of any kind whatsoever from UK Vending Ltd throughout the entire duration of the Agreement and at the prices current in the UK Vending Ltd price list as displayed at www.ukvending.co.uk at the time of each purchase. Otherwise the following charges will apply:

3. Repairs & Maintenance (the Services)

3.1. The Company or its agents will provide visits necessary to the equipment for the purpose of repair or maintenance or may from time to time offer advice to the Customer's representative by telephone to solve a problem or identify a fault

3.2. Subject only to the limitation of the repair or maintenance being required through fair wear and tear of the equipment in its normal usage, the parts used in the repair or maintenance and the labour expense of time and travel will be free of charge to the customer unless otherwise agreed in paragraph 2.2 of this Agreement

3.3. The Services are limited without exception to the goods specified in paragraph 2 above and specifically excludes external water-supply pipelines and pipe-line filters even if connected to the goods.

3.4. The Company or its agents will endeavour to visit the Customer's premises within 48 normal working hours and repair such equipment as needs attention as soon as possible subject only to such delay caused by circumstances beyond the Company's direct control.

4. The Company will not be liable for:

4.1. The restocking of the equipment, collecting or emptying cash from the equipment or the cleaning of the equipment or faults arising from the Customer's failure to clean the equipment

4.2. Any updates to the coin mechanism required as a direct effect of new coins of the realm entering circulation, updates or changes to the existing coins of the realm, or the introduction of Euro coinage

4.3. Any losses or expenses incurred by the Customer for any failure of operations howsoever caused if the equipment is not functioning in whole or in part and is awaiting mechanical attention

4.4. Loss or damage caused by water leaking from the machine howsoever caused.

4.5. The supply or fitting of water-supply pipeline filters after the initial installation of the goods.

4.6. Repairs or maintenance required as the result of vandalism, misuse of any kind, wilful act, fire, theft, use of wrong coins, use of wrong ingredients, or negligence may be undertaken at the request of the Customer and labour, time on site, travelling time and parts used will be chargeable at the Company's normal rates

4.7. Where the customer requests a maintenance call-out and we find that the electricity mains supply and /or water supply is switched off, or a service call is placed and no fault is found, then the call out will be chargeable to the Customer

4.8. The following parts are excluded from this contract: Locks and Keys, Lighting, Lamps, Water- supply pipeline filters and bucket including waste disposal containers

4.9. The equipment must be operated on the correct voltage and water pressure and the customer agrees to keep the equipment cleaned and sanitized to the satisfaction of the Environmental Health Officer. It is the responsibility of the Customer to ensure that the water pressure at their premises is adequate and does not exceed or fall below the required pressure for the safe and normal usage of the goods

4.10. The Customer will inform the Company of any equipment moved or relocated; any work or adjustment required as a result of moving of the equipment will be charged at normal rates to the Customer

4.11. The Company limits its liability to the Customer to the value of the carrying out of necessary repairs and maintenance including labour and parts used.

ALL WARRANTIES, REPRESENTATIONS, CONDITIONS AND GUARANTEES, WHETHER EXPRESS OR IMPLIED BY STATUTE, COMMON LAW OR OTHERWISE RELATING TO THE EQUIPMENT OR LOSSES INCURRED BY THE CUSTOMER THROUGH THE FAILURE OF THE EQUIPMENT HOWSOEVER CAUSED ARE EXCLUDED WITHIN THIS AGREEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW.

5. General

5.1. These terms and conditions constitute the entire agreement between the Customer and UK Vending Ltd relating to the provision of maintenance of the equipment during the term of the Guaranteed Service Provision

5.2. If any provision in these terms and conditions is deemed to be illegal or unenforceable, the remaining provisions of these terms and conditions will remain in full force and effect

5.3. UK Vending Ltd will not be liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control (see paragraph 4.3 above)

5.4 The Goods have been supplied to the Customer on the express understanding that the Customer has accepted the terms of supply as published on our website at www.ukvending.co.uk.

6. Enforcement

6.1. This agreement shall in all respects be governed by and construed in accordance with the laws of England and subject to the jurisdiction of the English Courts.

7. Standard Charges:

7.1. Per current list available from UK Vending Ltd's Service Manager. UK Vending Ltd reserves the right to amend its charges from time to time.

7.2. VAT will be charged at the current rate.
